Op grond van art. 3:53 lid 2 BW kan de rechter aan de vernietiging geheel of ten dele haar werking ontzeggen. Hij kan in dat geval zo nodig een waardevergoedingsverplichting opleggen. In de rechtspraak van de Hoge Raad vindt deze bepaling weinig toepassing, maar de daaraan ten grondslag liggende gedachten spelen in de recente rechtspraak een belangrijke rol.
